1. WHO WE ARE AND WHAT THESE TERMS DO

1.1 This website is operated by O’Spire and O’Spire Cycling (“we”, “us”, “our”).

1.2 These Terms & Conditions (“Terms”) govern your access to and use of this website and any purchase of goods or services from us.

1.3 By browsing the website, placing an order, or using our services, you agree to be bound by:

  • Our Refund & Returns Policy

Together, these form the entire agreement between you and us.

1.4 Our online store is hosted by Shopify Inc., which provides the e-commerce platform through which our products are sold.

2. ELIGIBILITY AND ACCEPTABLE USE

  • Correct sizing, fitting, and installation are essential

  • Improper installation, modification, or misuse may cause injury or damage

  • Helmets and protective equipment reduce risk but do not eliminate it

4.3 We strongly recommend professional fitting and installation where applicable.

4.4 To the extent permitted by law, we are not responsible for injury or damage caused by misuse, incorrect installation, unauthorised modification, or failure to follow manufacturer instructions.

5. PRICING, AVAILABILITY AND ERRORS

5.1 All prices are displayed in Australian dollars (AUD) and include GST unless stated otherwise.

5.2 Prices, availability, and product details may change without notice.

5.3 We reserve the right to correct errors, inaccuracies, or omissions, including after an order has been placed.

5.4 Where an order is cancelled due to an error, any payment received will be refunded in accordance with our Refund & Returns Policy.

6. ORDERS AND PAYMENT

6.1 Placing an order does not constitute acceptance.

6.2 An order is accepted only when we issue an order confirmation or dispatch notice.

6.3 We may refuse or cancel orders where:

  • Payment cannot be verified

  • Fraud or unauthorised use is suspected

  • Stock is unavailable

  • Orders appear intended for resale

6.4 If payment has been taken and an order is cancelled, refunds will be processed promptly.

6.5 You must provide accurate, current, and complete billing and contact information and keep it updated.

7. DELIVERY

7.1 Delivery times are estimates only and may be affected by factors beyond our reasonable control.

7.2 Risk in goods passes to you upon delivery.

7.3 Title to goods passes once full payment has been received.

7.4 Shipping of goods is governed by our Shipping & Delivery Policy, which forms part of these Terms. By placing an order, you acknowledge and accept the use of third-party carriers arranged via Interparcel and the allocation of risk described in that policy.

8. RETURNS AND REFUNDS

8.1 Our Refund & Returns Policy applies to all returns and exchanges and forms part of these Terms.

8.2 Certain items may be excluded from change-of-mind returns, including:

  • Custom-built bicycles

  • Clearance items

  • Used or installed components

  • Safety equipment where packaging has been opened

8.3 Nothing in these Terms limits your rights under Australian Consumer Law.

9. AUSTRALIAN CONSUMER LAW

9.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL).

9.2 You are entitled to:

  • A replacement or refund for a major failure

  • Compensation for any other reasonably foreseeable loss or damage

9.3 These Terms do not exclude, restrict, or modify any rights or remedies that cannot be excluded by law.

10. LIABILITY AND RISK ALLOCATION

10.1 To the maximum extent permitted by law, our liability for goods or services is limited, at our option, to:

  • Repair

  • Replacement

  • Resupply

  • Payment of the cost of repair, replacement, or resupply

10.2 We are not liable for indirect or consequential loss (such as loss of profit, revenue, or opportunity), except where liability cannot be excluded by law.

10.3 You are responsible for assessing whether products are suitable for your intended use.

10.4 We are not responsible for damage arising from:

  • Incorrect installation

  • Failure to maintain products

  • Normal wear and tear

  • Unauthorised modifications

11.1 We are not liable for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, supply chain disruptions, carrier delays, or government actions.
